Rule of Merger Demerger Essay 1.These rules are called Rules of Merger Demerger amongst the Firms registered with The Institute of Chartered Accountants of India. 2.Concept of Merger Demerger: i) The Partnership Act has not prescribed merger demerger of partnerships. In the corporate world, merger and demerger have become universal practices for securing survival, growth, expansion and globalization of enterprise and achieving multitude of objectives. Merger is the fusion of two or more existing companies. On the other hand, demerger signifies a movement in the company just opposite to merger. `Demergerââ¬â¢ is also used to describe spinning off of an ââ¬Å"undertakingâ⬠of a Corporate entity. The concept of `Mergerââ¬â¢, `Demergerââ¬â¢ `Acquisitionââ¬â¢ are arising out of the `Arrangementââ¬â¢ under Sections 391-394 of the Companies Act, 1956. Merger and Demerger are natural corollary of globalization. ii) To incorporate the spirit of Corporate World and to imbibe the consolidation creed, the Council used the term ââ¬Ëmergerââ¬â¢ and ââ¬Ëamalgamationââ¬â¢ of CA firms. The Council in its 198th Meeting held from 25th to 27th February, 1999 and in 223rd Meeting held from 2nd to 5th February, 2002 considered the Seniority and Mergers of the firm and implications of the decisions. iii) In order to have an orderly and sustainable growth of the CA firms, it is desirable that the coming together of the firms begins with networking and then matures to mergers. Networking will enable the firms to develop working relationships with each other. However, it is not to suggest that there cannot be mergers without networking. iv) The mergers should be effected to develop core competencies and to render professional services of a larger range spread over bigger geographical area. A merged big entity will always be superior to a network arrangement. 3.Merger i) To effectuate merger, a merger agreement in Form ââ¬ËEââ¬â¢ (enclosed) is to be filed with the Institute within 30 days from the date of the agreement. The re-constitution agreement/partnership deed shall be filed with the Registrar of Firms. ii) Upon the merger of the firms, the Institute will freeze the names of the merging firms and shall not allot the same names to any other firm. 4.Demerger i) The merger has to precede the demerger. The merger agreement itself shall contain the terms and conditions for demerger. Therefore no concurrence/acceptance is required from the continuing partners. The merger agreement shall stipulate that in case 75% or more of the continuing partners of one of the erstwhile firm(s) are willing to demerge then they can do so after giving due notice in Form ââ¬ËFââ¬â¢ (enclosed) to the other partners and to the Institute. ii) In case 75% or more of the continuing partners of one of the erstwhile merging firm have demerged after giving due notice to the other partners, then in such case, the merger shall come to an end and if the remaining erstwhile merging firms/partners of the erstwhile merged firm decided to continue, then they should enter into a fresh Merger/Partnership Agreement. iii) The Demerged Firm is entitled to practice in its old trade name, which existed at the time of merger. iv) The Constitution Certificate issued by the Institute to the demerged firm shall state the original date of establishment, the date of its merger and the date of the demerger. For the purpose of computing the seniority of the firm, the total period will be reckoned from the original date of establishment.

Types of Psychologists, Therapists and Counsellors Psychologists, counselors, social workers, and psychiatrists all work to help peopleââ¬âwhat is the difference between these professions? Psychologist: An attending health professional attentive with the scientific inquiry of behavior and its associated mental development, along with memory, rational and irrational thought, intelligence, learning, personality, perceptions and emotions and their relationship to behavior. Psychologists work scientifically, to examine how people act and to consider what motivates them to react that way. To eventually be a psychologist significant to achieve a certificate/license by earning a masterââ¬â¢s or doctorate degree. There is not only one precise classification of a psychologist, there are quite a few classifications, and for each one of the following subsections additional schooling is necessary: Clinical Psychologist: is both a general practice and a health service provider specialty in professional psychology. Clinical Psychologists provide professional services for the diagnosis, assessment, evaluation, treatment and prevention of psychological, emotional, psychophysiological and behavioral disorders. To emerge as an accredited clinical psychologist it is necessary to obtain an undergraduate degree (4 5 years of college) and a doctorate degree in psychology (4 -7 years of college). Counselling psychologist: is the applied branch of psychology that facilitates lifelong personal and interpersonal functioning, focusing on emotional, social, vocational, educational, developmental issues and concerns related to health. Its central focus is on ordinary and normal developmental issues but also in dysfunctional and unusual problems related to the individual, the family, the group or the organizational human experience. Being a certified counselling psychologist you first have to acquire a bachelorââ¬â¢s degree in psychology. Next a masterââ¬â¢s is needed to be achieved. Lastly it is required to seize a doctorate. As a whole it is 8-10 years of college. Educational psychologist: is psychology that is concentrated upon individualsââ¬â¢ advancement, academy scholarship, instruction approach, leadership, and evaluation of aptitude and progress by standardized tests. To eventually be an educational psychologist a bachelorââ¬â¢s degree, a masterââ¬â¢s in educational psychology and a doctorate in educational psychology is needed. Forensic psychologist: is the psychological evaluation of human beings who are involved, in any way, with the judicial organization (à © 2014 American Psychological Association). It is a must to earn a degree in psychology. As stated above itââ¬â¢s a bachelorââ¬â¢s, masterââ¬â¢s, and doctorate degrees. You have to train in forensic course and take the exams. It is also recommended that you have a minor in law. Many psychologist acquire a doctorate of the pair, law and psychology. As a result of this being a reasonably new field it is suggested that the forensic psychologist pursue their education throughout their careers. Health psychologist: ââ¬Å"help patients manage chronic disease and avoid preventable diseasesâ⬠by ââ¬Å"incorporating psychological theory and research to develop methods to assist patients in maintaining healthy lifestyles.â⬠(Brandi-Ann Uyemura, 2011). A graduate, bachelors and doctorate in psychology are mandatory. A great number of states mandate those who want to clinically practice to complete one year of supervised internship. Occupational psychologist: the study of human performance at work, as well as ergonomics, selection procedures, and the trappings of stress. You are mandated to require a masterââ¬â¢s degree in psychology, a degree in business management, organizational psychology, mediation, and employment law. You must also have work experience. It is required to have 2 to 3 working internships. Then after all educational requirements a met you must take an oral state given by the state board. California is the only state that is no longer required to take the exam to become licensed. Counselors: A qualified man or woman that consults people as their career. An associateââ¬â¢s degree in psychology will get you a counseling certificate. If you decide to specialize in like family, marriage, crisis or any specific counseling field you would have to obtain your masters or even your doctorate depending on what field you choose to go into. Social Workers: are qualified men or women that help others from very young to very old during hard times in their lives and keep them from harm. Each state has their own set of rules for becoming a social worker. I live in Texas so I selected to research that criteria. You are required to obtain a bachelorââ¬â¢s degree in social work. It has to be from a school that is CSWE- accredited social work program. When you are in your last semester you need to apply to the Texas Board to take the Association of Social Work Boards Licensing examination. It is also required to have a criminal history check. After graduation you are eligi ble to be licensed as a licensed Baccalaureate Social Worker. You may then obtain a job in your intended area of practice. You have to state your intended job description to the Texas Board. Then it is required to work under approved supervision until 3,000 hours of experience is accumulated. Depending on your intended field you may have to obtain a masters. After all education and hours are complete you then take a required examination, either the generalist examination or the clinical examination. Psychiatrists: is a medical doctor that specializes in the treatment of mental disorders. First get a bachelorââ¬â¢s degree. You do not have to specifically major in psychology but whatever you choose to major in it is recommended that you take physics, chemistry, and biology. This is to get you ready for medical school admissions. It is recommended that you volunteer at one of your local health centers or hospitals to demonstrate a type of leadership skill while gaining experience working with patients. This helps with your application to medical school. You must complete a four year medical school. That is 2 years of class room and laboratory instruction and 2 years of supervised clinical experience. After medical school you must go through 4 years of residency. That is a post-doctoral training. The APA states that psychiatrist must be state licensed physicians. This is done by passing the Medical Licensing Examination. Each state has a set of procedures to go by. Psychiatrist s hould continue education during their careers in order to stay up to date with the industry trend and theories. Continuing Education is required for renewing Board Certification and may also be required to renew licensure. Based on what I have learned in this study no I do not wish to go into any part of this field study. Though I respect it great, I do not wish to go that many years of schooling, I do not wish to be around that many people in the world. I have been around the psychology world most of my life. I have observed it, and I have experienced it. Iââ¬â¢ve been to social workers, psychologist, counselors, I have taken my dad, my son, and now myself to a psychiatrist. Iââ¬â¢m a good listener, I can be around people one on one. Even maybe four if I know the people. This would not be a good field for me to be in. I believe psychology could help me to be able to control my anxiety around people. I want to become an account and eventually own my own business. I want a successful business. With the help of my psychiatrist and therapy I know upon completion of this degree I will be able to obtain a job in my field of study. I will reach my goal of becoming a CPA and I will one day open an offic e of my very own. My thoughts on the relative influence of ââ¬Å"natureâ⬠and ââ¬Å"nurtureâ⬠is that it varies from person to person. You get traits passed down to you from your parents, grandparent, and past generation. Such as eye color, hair color, facial features, your height and more of your bodily features. I donââ¬â¢t believe that we get who we are from our parents or any family member, I believe a person becomes who they are meant to be because of the experiences they go through in their life. My grandfather was an alcoholic he was also a heavy smoker, all of his childrenââ¬â¢s lives, all of my childhood, until he took his own life. Out of five of his children two of them became alcoholics, the other three became smokers. I do not believe alcoholism is hereditary or even smoking, I do believe the addictive gene is hereditary. It goes on to my mom and dad were both heavy smokers, they had six kids, two of them became smokers (identical twins), one became a snuff dipper. The other nothing. I canââ¬â¢t say we never tried anything, but we have never been addicted to anything or gone back to anything thing, tried it and left it. The twins all though they are identical could not be more different personality wise. Robert is more of an outgoing person while Timothy is a stay at home kind of person. They both work, but other than that Timothy is very shy and only goes home and plays on his computer. While Robert also plays on his computer he will get out and about too. Robert is more inclined to go to a concert, or party; you wouldnââ¬â¢t find Timothy there. Not unless Robert absolutely just drags Timothy to a function will he go. Robert was able to quit smoking all on his own, Timothy cannot, absolutely refuses to lay the cigarettes down. Though I us to be as close to them as peanut butter is to jelly, I now to not get to see them that much. Iââ¬â¢m sure if I was around them more I could find even more differences in them. The Woman In Black Sound Analysis
The Woman In Black Sound Analysis How Sound is Used in The Woman In Black I saw a production of the play The Woman In Black at the Theatre Royal in Windsor. The play is set in England in Victorian times. This play really put me on the edge of my seat in some scenes and terrified the life out of me in others, the sound in the play really did go a long way to achieving this. Sound is very important in this production as it creates tension, makes the play nerve-shredding and really helps to tell the story as the stage is set as a minimalistic stage so the sound is vital to the story telling. The director (Robin Hearford) hired Rod Mead as the designer of sound. One scene Rod Mead uses sound effectively is where Kipps was sleeping at Eel Marsh house. The sound used here was non-diegetic and was a low rhythmical thudding. Thiss was a very good use of sound as it created an eerie atmosphere. This sound was played from speakers positioned around the audience to make the audience feel involved in the play. I thought this was a great use of sound as it really created a sense mystery and the audience didnt know what would happen next. Rod Mead used sound effectively in many ways. Often he used it to legitimise the location of a scene for example in the graveyard where Jerome and Kipps are paying their respects to Mrs. Drablow. There was a recorded sound of ravens which is a noise associated with death and hauntings. The non-diegetic sound was played from speakers which were behind the actors. This makes it realistic for the audience because Rod Mead is making us use our senses to make us more in depth and into the story, its making the audience experience what The Actor, who in this scene is playing Kipps, experienced. This is clever as it builds tension because it is bringing the audience deeper and deeper into the story and is enhancing the separation from the real world and as it was a minimalistic stage setting the sound was really important as it was the main sense the audience had to picture the scene.I thought this was a brilliant use of choosing to place the sound and it really supported the action that wa s going on, onstage. Also there is a reverb on the vicars voice. This is implying that the church was mostly empty and makes the audience wonder about why Mrs. Drablow was so unpopular. Another way sound is used effectively is in the office scene where Kipps and Jerome are talking at Jeromes desk. In this scene Rod Mead uses non-diegetic sound really well to create an extremely clear atmosphere. In the background there was the sound of the busy market place, which include the voices of traders, the footsteps of people walking through the market and in the office there were sounds of light murmuring from employees and chairs being moved etc. This was very smart from Rod Mead as it gave the sense that the audience were really in an office scene and it drew the audience in to the story. These distant sound effects had been mixed cleverly to create a background and atmosphere for the scene. I think this was a very good way of supporting the action of this scene and I think it really helped the audience paint a picture in their heads. Near the start of the play when Kipps and Sam Dailey are in the train, Rod Mead creatively uses non-diegetic to give real sense of the atmosphere of the train carriage. If you listened, you could hear sound effects that had been mixed cleverly to create a background for the scene. There were sounds of the steam puffing out of the steam engine, the clickety clack of the wheels rolling away on the track, and the gentle hum of the engine. These sounds were amplified around the room with a speaker at the front.This was a very clever technique as it gave the impression that we were really in a train carriage in these scenes. I thought this was a brilliant use of choosing where to place the sound. It also gave a brilliant atmosphere for the upcoming jump scare because it involved you in the play and it felt as if you were actually there on the train and it seemed normal. So when the climax, a loud train horn (which was recorded sound coming out from the speakers), accompanied by a straw ge lled rotating gobo, which simulated a passing train, actually came it was extremely scary because it came from nowhere and was a sudden unexpected shock. Also there was very little on so the location and the atmosphere was created through sound. So in conclusion, I can see how recorded music as well as live and recorded sound effects are all used together to communicate and tell the story of The Woman In Black, Robin Hearford and Rod Mead clearly worked together well to help one another and the overall effect was fantastic.

Recycling:The Technology of Conserving I. America Thinks Trash Over the past two decades, the U.S. Public has embraced a remarkable hobby: recycling. The awareness of threatening environmental issues and recycling programs have been growing parallel to each other. Despite vast and compelling evidence against recycling, the American public has continued to practice daily rituals of sorting out items from their own trash. After reading the arguments posed by the anti-recyclers, making sure to acknowledge the truth and disregard over generalizations and flaws, a prevailing question arises: Is recycling necessary with our technological advances? II. The History of Garbage ââ¬Å"Population when unchecked increases in a geometrical ration. Subsistence increases only in an arithmetical ratio.â⬠-Thomas Roberto Malthus (1798) The world has inevitable had its share of ââ¬Å"sightingâ⬠into the future. An energy crisis in the middle of the 19th century was caused by the dwindling supply of whales. In 1905, President Roosevelt announced a ââ¬Å"timber famineâ⬠. In 1929, the United States was proclaimed to have a mere seven year supply of petroleum left. It was also predicted by several ecologists, including Paul Ehrlich, one of the worldââ¬â¢s better-known scientists and author of ââ¬Å"The Population Bombâ⬠, that in the 1970ââ¬â¢s or 80ââ¬â¢s the world would undergo a terrible famine and eventually starve to death. Not only did the widely fear popular ââ¬Å"sightingsâ⬠not occur, but ââ¬Å"things were actually getting less scarce as population grew.â⬠[8] Did we get lucky? Yes and No. Yes because the scarcity forced prices to increase and forced creative and ingenious minds to ââ¬Å"createâ⬠new resources. No because new uses for resources existed, we just had not discovered them. Furthermore, luck did not take care of the problem, hard work towards solutions did. Are we running out? ââ¬Å"Fossil fuels and most minerals are more abundant than in the past--that is, they are more readily available and cheaper than they used to be. Most resources are so plentiful that they will last for centuriesâ⬠(6). Resources are abundantly available, but like anything else in this world, if we abuse, we will have unfortunate consequences. Maybe not complete extinction or mass starvation, but definitely unwanted problems which could have been prevented. So, we might not run out of oil and one sighs with content. However, it is not necessarily a good thing. More oil means more pollution. III. Two-Faced Trash Humanityââ¬â¢s destiny is debated by two opposing views in the recycling world. Democracy: Justices, Injustices, and Socratic Arguments to Improve Cur
In the Republic, Plato seeks to define justice and, through definition, show that justice is intrinsically worthwhile. In doing so, Plato sets out to explain the principal concept of political justice, and from this obtain a parallel model of individual justice. Essentially, justice is defined as a result of accurate logic or reasoning. However, it is quite important to note that the democratic regime discussed in the Republic is not the same as the known democratic regime of today. The democratic establishment discussed in the Republic is a direct democracy, which, even at that time, proved to be a failure. However, the overall idea of justice and injustice found in direct democracy oftentimes proves analogous to that of the current representative democracy. à à à à à Throughout the Republic Plato seeks a definition of justice, and, in Book VIII, what justice might be found in the different regimes presented, including the democratic regime. Justice, as found in democracy, has its roots in equality and variety. Indeed, Socrates confirms that ââ¬Å"it looks as though this is the finest or most beautiful of the constitutions, for . . . this city, embroidered with every kind of character type, would seem to be the most beautiful.â⬠Variety is important to some, equality to most, and it is in the democracy where these two elements are highly valued. Here, justice is seen through the concept of equality, a vital concept of the true Form of Justice to many. Indeed, equality is a core aspect of democracy in the Republic, from which Plato identifies that it is the democratic regime that gives way to equality in the purest form available. This democratic regime containing the pure equality is admired by Plato, for it is ââ¬Å"a pleasant constitution . . . which distributes a sort of equality to both equals and unequals alike.â⬠Another aspect of the Form of Justice which is extremely important to many, and is also found in the democratic regime, is freedom. Plato, in fact, seems to admire the concept of freedom, although not placing it above the quest of seeking the Form of the Good, as Socrates observes that in ââ¬Å"this city there is no requirement to rule . . . or again to be ruled if you donââ¬â¢t want to be, or be at war . . . or at peace unless you want it . . . Isnââ¬â¢t this a divine and pleasant life, while it lasts?â⬠Freedom is basically found only, or at le... ...hildren at a young age, and reinforce it throughout their life. Yet another argument Plato might present toward improvement might be the value to which we hold personal freedom. Truly, is personal freedom outside sacrifice? Plato might argue that, indeed, too much emphasis is currently placed on personal freedom rather than discussing the benefits, such as harmony and order, in conceding some freedom. Plato would also argue that society currently holds tightly to the concept and value of personal freedom because the regime is disordered, and therefore those living in such a society are unhealthy. Ultimately, Plato might argue that to improve the current democratic regime would be to reach towards, and possibly achieve, the ideal state; however, realistically to improve the current democracy would be to keep the constitution of democracy intact. That is, some adjustments of education, specialization, and morality are necessary, in the Socratic argument, to achieve improvements in the current democratic regime, but not so much that it is moved out of the status of a democracy. Admire: God and Long Black Hair Essay
Everyone has his own idol. They can be a singer, film-star or superrich person for example. But to me, my mother is the person I love and admire the most. My mother still looks quite young although she is forty now. She possesses a little fat figure, round face, and a long black hair which is naturally straight to her shoulder. However, those are not the impressive things that draw peopleââ¬â¢s attention, but her figure and her eyes. She looks rather small and thin. To look at her, you will never think that she has been a mother of three children although she doesnââ¬â¢t dress gaudily or fashionably. My mother has very deep sad eyes which are watery. She never gets angry with her children. She teaches us how to become a good person and how to distinguish good and bad things. Besides she is also a good cook. So I never missed a family meal. She works very hard from the early morning till late at night. I never think that any woman could manage to do such an enormous amount of work like that. I am indeed very indeed proud of my mother. To me, she is not a good wife but a good mother as well. By looking at her small figure and the way she works hard, it is easily that she is trying her best to bring all the good things to her children, the only source of joy left in her life. Thanks God for having given her to us, the most priceless gift I have ever had.

The word ââ¬Å"digraphâ⬠will be introduced and gone over for students who do not remember it. To help the students remember the function of the digraph, the teach er will ask them to give me a few examples of words with the /ph/, /th/, and /sh/ sounds in them before beginning the activity. | Introduction of New Material (What 3 ââ¬â 5 key points do you want to emphasize? How/what will you model for students?How will you ensure that students actively take in information presented? )| ââ¬â Emphasize the specific digraphs previously mentioned ââ¬â Show students that pairs of letters come together to make sounds in forming words ââ¬â Allow students the opportunity to choose one word they found a picture for and spell it on the board for the other students to see the digraph pattern and picture they found| Guided Practice/Small Group Lesson Activities (This is where you practice your objective with students.How will you ensure that all students have multiple opportunities to practice? How will you scaffold practice exercise from easy to difficult? How will you monitor and correct student performance? )| The teacher will be walking around from group to group to check for group and individual understanding. TTW will look at the words they have found so far and make sure they are appropriate for the activity. If words are not matching the digraphs being used, TTW will explain why and help them find words that will work.Each group will be presenting so no student will be left out of the process. This exercise itself is self-contained so students will be doing as much as they can with out the help of a teacher. | Independent Practice (This is where you specifically evidence your objectiveââ¬â¢s goal (s) with the same activity but different items/prompts for individual assessment. How will the students apply the new knowledge they have learned? )| Each student will have pictures that TTW will provide to sort into piles based on their digraph.TTW will walk around and check the piles. How will you specifically review your lessonââ¬â¢s objectives? * TTW will review the digraphs we have focused onTo summarize what we have learned, TTW will say a word and ask for a thumbs up or a thumbs down based on the word the teacher provided and whether it has a digraph sound or not| Extensions (How might you provide opportunities for extension? )| The teacher could make a class bulletin board with a bubble surrounding the three digraphs that we are focusing on.
